1. Overview
These Terms govern your access to and use of SpeakFlow’s website and courses.
- By accessing or using the site or enrolling in any course, you agree to these Terms.
- You must be at least the age of majority in your jurisdiction (or have verifiable parental consent) to use the services.
- We may update these Terms from time to time. Material changes will be indicated by updating the date above and may be communicated through the service.
- If you do not agree to the updated Terms, you must stop using the services.
2. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for activities under your account.
- Provide accurate, current, and complete information during registration and keep it updated.
- Do not share your login credentials or allow others to access your account.
- Notify us promptly of any unauthorized access or suspected security breach.
- We may suspend or terminate accounts that violate these Terms or pose security risks.
3. Payments and refunds
Prices are shown before tax. Refunds may be available according to course-specific policies provided at checkout.
- All fees, taxes, and currency conversions are your responsibility unless stated otherwise at checkout.
- Payments may be processed by third‑party providers. You authorize us and our processors to charge your selected payment method.
- Discounts, vouchers, and promotions are non‑transferable and may be time‑limited.
- Subscriptions (if offered) auto‑renew unless you cancel before the renewal date; renewal terms are provided at signup.
- Refund eligibility varies by course. Unless a course page states otherwise, refunds are available within 7 days of purchase if less than 20% of the course has been consumed and no live session has been attended.
- Chargebacks without first contacting support may result in immediate account suspension.
4. Scheduling
We offer multiple time slots. Rescheduling is possible within the limits described at signup.
- Sessions are scheduled in your selected time zone; verify your time zone before confirming a booking.
- You may reschedule up to 24 hours before the session start time, subject to availability.
- Cancellations within 24 hours or no‑shows may be charged in full and may not be eligible for refunds.
- We may substitute instructors, adjust session lengths, or move sessions when necessary; we will attempt to notify you in advance.
- Holidays and regional closures may affect available slots and response times.
5. Acceptable use
Do not engage in abuse, fraud, or activities that disrupt learning for others.
- Do not harass, threaten, or defame others, or use discriminatory or hateful language.
- Do not share, sell, or otherwise disclose login credentials, or attempt to circumvent access controls.
- Do not record, reproduce, distribute, or publicly display course sessions or materials without permission.
- Do not upload malware, spam, or content that infringes intellectual property or privacy rights.
- Do not scrape, crawl, or reverse engineer the service except as permitted by law.
- We may suspend or terminate access for violations and remove infringing or unlawful content.
6. Liability
SpeakFlow is not liable for indirect damages, data loss, or service interruptions beyond our reasonable control.
- The services are provided “as is” and “as available” without warranties of any kind, to the fullest extent permitted by law.
- To the maximum extent permitted, our aggregate liability for any claims arising out of or relating to the services will not exceed the greater of USD $100 or the amounts you paid to SpeakFlow for the services in the 12 months preceding the event giving rise to liability.
- We are not responsible for delays or failures due to events beyond our reasonable control (including force majeure events).
7. Intellectual property
All course content, logos, and materials are owned by SpeakFlow or our licensors.
- We grant you a limited, non‑exclusive, non‑transferable license to access and view the content solely for your personal, non‑commercial learning while your account is in good standing.
- You may not copy, share, sell, sublicense, or create derivative works from the content unless expressly permitted in writing.
- All rights not expressly granted are reserved by SpeakFlow and its licensors.
8. User content
You may submit content such as assignments, messages, or feedback.
- You retain ownership of your content. You grant SpeakFlow a worldwide, non‑exclusive, royalty‑free license to use, reproduce, and display your content solely to operate and improve the services.
- You represent that you have the rights necessary to submit the content and that it does not violate the law or third‑party rights.
- We may remove content that violates these Terms or applicable law.
9. Privacy
We process personal data as described in our privacy notices. We use reasonable safeguards to protect your information, but no method of transmission or storage is completely secure.
10. Disclaimers
Our courses are for educational purposes only and do not constitute professional advice. Results vary depending on individual effort and context.
11. Indemnification
You agree to indemnify and hold harmless SpeakFlow, its affiliates, and personnel from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the services or violation of these Terms.
12. Termination
We may suspend or terminate your access if you violate these Terms or if required by law.
- Upon termination, your right to access the services ends, but certain provisions survive (e.g., Intellectual Property, Liability, Indemnification).
- We may retain records as required by law or for legitimate business purposes.
13. Changes to the services
We may add, change, or remove features, content, or availability at any time. If we discontinue a paid offering for which you have prepaid, we will provide a pro‑rata refund unless the change is due to your violation of these Terms.
14. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any dispute will be brought in the state or federal courts located in Delaware, except that either party may seek injunctive relief in any competent court. Where required by local consumer law, you may have additional rights that cannot be waived.
15. Children
The services are not directed to children under 13. If we learn that a child under 13 has created an account, we will take steps to delete it.
16. Miscellaneous
- Entire agreement: These Terms constitute the entire agreement between you and SpeakFlow regarding the services.
- Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
- Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- No waiver: Failure to enforce any provision is not a waiver of the right to do so later.
- Notices: We may provide notices via email, in‑app messages, or by posting on the site.
